Terms & Conditions

The commercial framework behind every ToySail quotation. Final terms are always confirmed in your formal quotation and order confirmation.

Quotations

• Quotations are FOB Shantou or FOB Shenzhen unless otherwise stated, in USD, and are valid for 30 days from issue.
• Prices assume the quantities, specifications, packaging and destination stated in the quotation; changes are re-quoted.
• Certification requirements are settled at quotation stage; adding market-specific tests after order confirmation is quoted separately.

Minimum Order & Samples

• MOQ varies by product and is stated per line where applicable; mixed-category containers are welcome.
• Lab samples are available for confirmed items; sample cost and courier freight are settled at quotation stage.
• Sample approval is the spec baseline for mass production; deviations after approval are handled as change requests.

Payment

• Standard terms are T/T with a deposit and balance before shipment; L/C at sight is supported for established programs.
• Payment terms, currency and any tooling amortisation are confirmed in the formal quotation.

Production, Inspection & Delivery

• Lead times are confirmed per order after sample and spec approval; weekly photo updates run during production.
• Quality control follows the inspection stages described on the Quality & Compliance page (IQC / IPQC / OQC, AQL by program).
• Delivery is measured against the confirmed shipment window; force majeure, port congestion and similar events outside our control extend it accordingly.

Intellectual Property

• For OEM work, you confirm you hold the rights to the artwork, designs and brands you provide; we do not verify third-party IP on your behalf.
• Catalog designs, our brand and site content remain ToySail / group property and are not licensed by quotation or purchase.
• For ODM programs, tooling ownership and design rights are set out in the program contract before tooling starts.

Confidentiality

Both sides treat briefs, artwork, pricing and business information shared during a program as confidential, and use them only for that program. This survives the end of an order.

Liability

Order liability is limited to the value of the affected goods, except for matters that cannot be limited by law. Nothing in a quotation limits liability for fraud or willful misconduct.

Governing Terms

These terms, together with your quotation and order confirmation, form the agreement for an order. Where any conflict exists, the order confirmation prevails for that order. Disputes are first addressed amicably through the sales desk; unresolved matters fall to the courts of competent jurisdiction in the People’s Republic of China.
